It's simply the updated version of the second generation model. It has the same exact look as the second generation Touch pretty much as how the iPhone 3GS looks almost exact to the 3G.

I regret ever buying the iPod Touch 3rd Generation, it is a waste of $200 dollars to say the least. First of all, on a good note I'm impressed with the appearance and smooth running user interface, but that's about it.
