Are you wondering how to form an LLC in Wyoming? There is good news and bad news for companies that are considering LLC status.

The good news is that, technically, all that is needed to turn your current business into a Limited Liability Company is the filing of your Articles of Organization and the paying of a one hundred dollar fee.

The bad news is that actually setting up your business to run smoothly as an LLC is not quite as simple. Here is what you need to know if you want to learn how to form an LLC in Wyoming:

Your Articles of Organization need to include more than your hoped for LLC name and address. Here is the information that you need to include in your paperwork:
1Your company's operating name

2How long your LLC plans to operate (if you do not fill in a date, your articles of organization will be valid for thirty years).

3A statement that outlines the reasons that you have decided to become an LLC and the purposes of your business.

4Your registered agent's name, address and statement of written consent.

5The total sum of your company's property and cash on hand.

6A statement declaring whether or not the LLCs current members are allowed to induct future members and the rules upon which future members can be admitted.

7A statement outlining what will happen if one of your members cannot participate in the business anymore (for any reason including death, expulsion and bankruptcy).

8The names and addresses of any in-place managers if your LLC is going to be managed by its members.

Your company will be declared an official LLC as soon as a conformed copy of your Articles of Organization is delivered to the Secretary of State as long as the LLC meets the following conditions:

9You must have at least one organizer.

10You must have at least two members. These members are not allowed to resign from the LLC unless all of his or her liabilities have been paid off and there is enough money contained within the company to pay that person fairly.

The process must also meet the directions set forth in the Articles of Organization and the resignation will not be legal unless it is consented to by all of the other members in the LLC and the person resigning gives at least six months notice.

There are quite a few benefits that surround learning how to form an LLC in Wyoming. The biggest benefit is that LLCs have better tax advantages than corporations.

An LLC does not need to be a separate tax entity (which makes it different than a corporation) and there are more tax deductions available to an LLC than a sole proprietorship or a corporation.

As long as you make sure to meet all of the requirements set forth by the state, you should not have any problems forming an LLC in Wyoming.
